Course End User License Agreement & Terms of Use

 

This End User License Agreement and Terms of Use (this “Agreement”) is a binding agreement between TruThinking Corp., a California corporation doing business as Red Team Thinking (“Red Team Thinking,” “we,” “us,” or “our”), and the individual who enrolls in, accesses, or participates in the Course (“you” or “Participant”). It applies to the course titled “Red Team Thinking in the Age of AI” and, except where stated otherwise, to any other online or recorded course we offer (each, the “Course”). By enrolling in, accessing, attending, or using any part of the Course or the Course Materials, you agree to be bound by this Agreement. If you do not agree, do not enroll in or access the Course.

Effective date: 27 July 2026.

  1. Definitions

1.1  “Course Materials” means all content made available to you in connection with the Course, in any format, including live and recorded video sessions, slide decks, the course workbook, case studies, exercises, prompt libraries and templates, handouts, and any other written, visual, or audio materials.

1.2  “Methodology” means the Red Team Thinking® decision-support and critical-thinking methodology and the frameworks, tools, techniques, and processes taught or referenced in the Course, including without limitation Assumptions Challenge™, Devil’s Troika™, Swan Dive™, Four Ways of Seeing, and any other tool designated by trademark.

1.3  “Marks” means the Red Team Thinking® trademark and the other registered and unregistered trademarks, service marks, and branded tool names used in the Course.

1.4  “Intellectual Property” means all copyrights, trademarks, service marks, trade names, trade secrets, and other intellectual property and proprietary rights in and to the Course, the Course Materials, the Methodology, and the Marks.

  1. License Grant

2.1  Subject to your compliance with this Agreement and payment of all applicable fees, Red Team Thinking grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Course Materials solely for your own personal and professional development.

2.2  Application in your practice. You may apply the knowledge, skills, concepts, and techniques you learn in the Course in your own work and in advising or serving your own clients. Nothing in this Agreement prevents you from using what you have learned to do your job better.

  1. Restrictions

You agree that you will not, and will not permit any third party to:

3.1  copy, reproduce, record, download (except as we expressly enable), republish, distribute, display, transmit, sell, rent, lease, sublicense, or otherwise make available any of the Course Materials to any third party;

3.2  record, capture, screen-capture, or create derivative copies of any live session;

3.3  use, in whole or in part, the Course Materials — or any reproduction, adaptation, or derivative of them — to create, market, teach, license, or deliver any course, workshop, training program, certification, coaching curriculum, or other offering;

3.4  use any of the Marks, or any confusingly similar name, in the marketing, naming, or delivery of your own products or services, or in any manner suggesting that you are certified, accredited, authorized, endorsed by, or affiliated with Red Team Thinking, except as we expressly authorize in writing;

3.5  represent, directly or by implication, that you are authorized or qualified to teach, train others in, or certify others in the Red Team Thinking® Methodology;

3.6  remove, obscure, or alter any copyright, trademark, or other proprietary notice; or

3.7  share, transfer, or provide your Course access credentials to any other person.

For clarity: Section 2.2 permits you to apply the techniques in your own client work. Section 3 prohibits you from reproducing, rebranding, or repackaging the Course Materials or the Marks — or building offerings derived from them — to create or deliver a competing course, training, or certification.

  1. Intellectual Property

4.1  The Course, the Course Materials, the Methodology, and the Marks are owned by Red Team Thinking and/or its licensors and are protected by United States and international intellectual property laws. Except for the limited license in Section 2, no right, title, or interest in or to any Intellectual Property is transferred to you, by implication or otherwise.

4.2  Any feedback or suggestions you provide regarding the Course may be used by Red Team Thinking without restriction or any obligation to you.

  1. Recordings, Likeness & Consent

5.1  You acknowledge that the live sessions are recorded. You grant Red Team Thinking a perpetual, irrevocable, worldwide, royalty-free license to record, reproduce, edit, adapt, distribute, publicly display, and otherwise use the recordings — including any of your name, image, voice, likeness, and contributions captured during the sessions — for any purpose, including the creation, marketing, and sale of recorded or “evergreen” versions of the Course and other promotional and commercial materials.

5.2  If you prefer not to appear in the recordings, you may keep your camera and microphone off during recorded portions of the sessions; please notify us in advance.

5.3  You may not record, reproduce, or distribute any session yourself.

  1. Confidentiality

6.1  During the Course, other participants may share confidential or sensitive information about themselves, their organizations, or their clients. You agree to keep all such information confidential and not to use or disclose it outside the Course.

6.2  The Course Materials and the non-public elements of the Methodology are confidential and proprietary to Red Team Thinking, and you agree to maintain their confidentiality consistent with the restrictions in this Agreement.

  1. Use of AI and Third-Party Tools

7.1  The Course involves the use of third-party artificial intelligence and software tools. You are responsible for obtaining your own access to any such tools and for complying with their respective terms of service.

7.2  You are responsible for any content you input into AI tools, and you agree not to input any third party’s confidential information without authorization. Red Team Thinking does not control and is not responsible for the outputs of any third-party AI tool.

  1. Certificate of Completion

8.1  Participants who complete the Course may receive a certificate of completion. The certificate acknowledges attendance and participation only. It is not a professional certification, license, accreditation, or continuing-education credit, and it does not authorize you to teach, train others in, or hold yourself out as certified in the Red Team Thinking® Methodology.

  1. Fees and Refunds

9.1  Access to the Course is conditioned on payment of all applicable fees. Fees, payment terms, and any refund or guarantee terms are as stated at the point of enrollment and in any separate policy referenced there, which is incorporated by reference.

  1. Privacy

10.1  We process your personal information in accordance with our Privacy Policy, available at https://www.redteamthinking.com/RTT-Privacy-Policy, which is incorporated by reference. Because the Course is offered to participants in multiple jurisdictions, additional data-protection terms may apply to participants in certain regions.

  1. Disclaimers

11.1  The Course and Course Materials are provided for educational purposes only and do not constitute legal, financial, investment, medical, or other professional advice.

11.2  THE COURSE AND COURSE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Red Team Thinking does not warrant any particular result or outcome.

  1. Limitation of Liability

12.1  To the maximum extent permitted by law, Red Team Thinking and its officers, employees, instructors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to the Course or this Agreement.

12.2  To the maximum extent permitted by law, Red Team Thinking’s total aggregate liability arising out of or related to the Course will not exceed the total amount you paid for the Course.

  1. Term and Termination

13.1  This Agreement applies from the date you first enroll in or access the Course and continues for as long as you retain access to any Course Materials.

13.2  We may suspend or terminate your license and access immediately if you breach this Agreement. Sections 3, 4, 5, 6, 11, 12, 14, and 15 survive any termination or expiration.

  1. Governing Law and Dispute Resolution

14.1  This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules.

14.2  Any dispute arising out of or relating to this Agreement or the Course will be resolved by binding arbitration administered by JAMS in San Francisco, California, under its applicable rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its Intellectual Property or Confidential Information. To the extent permitted by law, disputes will be resolved on an individual basis, and not as a class, collective, or representative action.

  1. General Provisions

15.1  Entire Agreement. This Agreement, together with the enrollment terms and any policies incorporated by reference, is the entire agreement between you and Red Team Thinking regarding the Course and supersedes all prior understandings.

15.2  Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.

15.3  No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

15.4  Assignment. Red Team Thinking may assign this Agreement; you may not assign it without our prior written consent.

15.5  Modifications. We may update this Agreement from time to time. Material changes will be posted, and your continued access to the Course Materials after changes take effect constitutes acceptance.

By enrolling in or accessing the Course, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
